From Sole Proprietorship to BV: Don’t Forget Your Declaration of Intent!

What is a declaration of intent?

Are you planning to convert your sole proprietorship into a private limited company (BV)? Then you’ll need to submit a declaration of intent to the Dutch Tax Authority. It’s simply a short and clear document in which you state: "I intend to continue my business as a BV from [date]."


Why do you need this when switching from sole proprietorship to BV?

This document is important because:

1. The Tax Authority uses this date Say you decide on March 10th that you want your BV to start as of January 1st. If you’ve documented that properly in a declaration of intent, your profits from January 1st onward can be allocated to the BV — which could bring significant tax advantages.

2. It helps formalise the transition The declaration is part of the official paperwork needed to switch to a BV. Think: registering the BV at the Chamber of Commerce, deregistering your sole proprietorship, visiting the notary, etc.

3. You avoid issues later on This document shows that you had serious intentions to convert as of a specific date. That helps prevent any discussion with the Tax Authority about when your BV actually “started.”


When should you submit your declaration of intent?

The next deadline is October 1st.
